What Is Corporate Tax in the UAE?

Corporate Tax is a federal direct tax imposed on the Taxable Income of businesses and other Taxable Persons. It applies to Tax Periods beginning on or after 1 June 2023. For businesses subject to the standard rates, Corporate Tax is generally charged at 0% on Taxable Income up to AED 375,000 and 9% on Taxable Income above AED 375,000.

A Free Zone Person that meets the conditions to be treated as a Qualifying Free Zone Person may benefit from 0% Corporate Tax on Qualifying Income. However, the tax rate and registration requirement are separate matters, so a business may still have corporate tax registration and filing obligations even where no Corporate Tax is ultimately payable.

Corporate Tax Registration: Who Needs It?

Corporate tax registration is required for Taxable Persons that fall within the UAE Corporate Tax regime and meet the applicable registration requirements. Your obligation depends on your entity type, activities, residency status and other relevant circumstances.

  • A mainland company holding a valid UAE trade license
  • A free zone company, including those eligible for the 0% Qualifying Free Zone Person rate
  • A foreign company that is effectively managed and controlled from the UAE
  • A non-resident business with a permanent establishment or nexus in the UAE
  • A freelancer or individual whose UAE business turnover exceeded AED 1 million in a Gregorian calendar year

Registration is based on whether a Person falls within the scope of Corporate Tax, not simply on whether the business currently makes a profit. A loss-making or inactive business may therefore still have registration and compliance obligations. Businesses that cease operations or enter liquidation should separately review their Corporate Tax deregistration requirements.

Tax Rules, Regulations, Deadlines and Penalties

Corporate tax registration is only the first step in meeting UAE Corporate Tax obligations. Once registered, businesses need to understand their Tax Period, filing timeline and record-keeping responsibilities.

  • Tax Period — A business’s Tax Period generally follows its Financial Year. The Corporate Tax return and any tax payable are generally due within nine months from the end of the relevant Tax Period.
  • Record Keeping — Taxable Persons must retain relevant records and supporting documents for at least seven years following the end of the Tax Period to which they relate.
  • Small Business Relief — Eligible Resident Persons with revenue of AED 3 million or less may elect for Small Business Relief for qualifying Tax Periods ending on or before 31 December 2026, subject to the applicable conditions. This relief does not automatically remove Corporate Tax registration requirements.

These requirements apply alongside UAE corporate tax registration, so businesses should plan for ongoing compliance rather than treating registration as a one-time process.

Who Is Exempt from UAE Corporate Tax?

Documents Required for Corporate Tax Registration

Not every person within the UAE is subject to Corporate Tax in the same way. The Corporate Tax Law provides exemptions for certain Persons where the applicable conditions are met.

These may include:

  • Government Entities
  • Government Controlled Entities that meet the required conditions
  • Certain Extractive Businesses and Non-Extractive Natural Resource Businesses
  • Qualifying Public Benefit Entities
  • Qualifying Investment Funds
  • Certain public or private pension and social security funds
  • Certain juridical persons wholly owned and controlled by specified Exempt Persons

Some exemptions apply automatically, while others depend on meeting specific conditions or obtaining the required approval. Businesses should therefore confirm their status before assuming that corporate tax registration UAE requirements do not apply.

What Is the Corporate Tax Registration Deadline in the UAE?

The corporate tax registration deadline is not the same for every business. It depends on factors such as when the entity was established, its licence issuance date and whether it is a Resident or Non-Resident Person.

Taxable Person

Corporate Tax Registration Deadline

Resident juridical person established before 1 March 2024

Based on the month in which its licence was issued under FTA Decision No. 3 of 2024

Resident juridical person established on or after 1 March 2024

Within 3 months from incorporation, establishment or recognition

Foreign juridical person effectively managed and controlled in the UAE

Applicable timeframe depends on when it became a Resident Person and the relevant FTA rules

Non-Resident Person with a UAE Permanent Establishment

Within the applicable timeframe based on when the Permanent Establishment came into existence

Non-Resident Person with a UAE nexus

Within the applicable timeframe from establishing the nexus

Resident Natural Person exceeding the applicable AED 1 million business revenue threshold

By 31 March of the following Gregorian calendar year

For UAE companies established before 1 March 2024, the FTA introduced licence-month-based registration deadlines. Where a business held more than one licence, the earliest-issued licence was used to determine its applicable corporate tax registration deadline.

Businesses that have already passed their registration date should review their position promptly rather than relying on a general deadline found online.

What Is the Penalty for Late Corporate Tax Registration?

Failing to submit a required corporate tax registration application within the applicable timeframe can result in an AED 10,000 administrative penalty.

The FTA also has a Corporate Tax Late Registration Penalty Waiver Initiative for eligible taxpayers. Where the applicable conditions are met, including the required timeline for submitting the first Corporate Tax return or Annual Declaration, the late-registration penalty may be waived.

Eligibility should be checked against the FTA’s current requirements, as a missed corporate tax registration deadline does not automatically mean that a business qualifies for a waiver.

Documents Required for UAE Corporate Tax Registration

Keep the following documents and information ready before starting your corporate tax registration UAE application:

  • Certificate of Incorporation, Memorandum of Association or Partnership Agreement, if available
  • Commercial Registration Certificate or other official document issued by the licensing authority
  • Valid trade licence, including branch licences where applicable
  • Emirates ID and passport of owners holding more than 25% ownership
  • Emirates ID and passport of authorised signatories
  • Proof of authorisation for the authorised signatory
  • Other supporting documents applicable to the type of Taxable Person

The exact documents required can vary according to the type of Taxable Person and the information already available in EmaraTax. Additional documents may be requested by the FTA during its review.

Common Mistakes in Corporate Tax Registration UAE

Errors during corporate tax registration can lead to FTA queries, application corrections or missed compliance requirements. Before submitting your application, check for these common issues:

  • Choosing the Wrong Entity Type — Registering under an incorrect legal or Taxable Person classification can affect the information required in your application.
  • Entering Inconsistent Business Details — Your legal name, trade licence details, business activities and other company information should be consistent with your official records.
  • Using an Incorrect Financial Year — The Financial Year entered during corporate tax registration UAE is important because it determines your Tax Period and subsequent filing timeline.
  • Submitting Incomplete or Outdated Documents — Expired identification, missing authorised signatory documents or incomplete company records may result in additional queries during the application review.
  • Missing the Corporate Tax Registration Deadline — Different Taxable Persons can have different registration timeframes. Missing the applicable corporate tax registration deadline may result in an AED 10,000 administrative penalty.
  • Assuming 0% Tax Means Registration Is Not Required — A business that expects to pay 0% Corporate Tax may still have registration obligations. This is particularly important for Free Zone Persons and businesses with Taxable Income within the 0% threshold.
  • Registering the Wrong Taxable Person in EmaraTax — Businesses with multiple entities or existing tax profiles should confirm that the UAE corporate tax registration application is being submitted under the correct Taxable Person.

A careful review of the entity details, Financial Year, documents and applicable deadline before submission can reduce avoidable corrections during the corporate tax UAE registration process.

Before You Submit Your Corporate Tax Registration Application

A final review before submission can help ensure your application reflects your current legal and business information.

  • Confirm your trade licence and legal entity details
  • Check the Financial Year entered for Corporate Tax purposes
  • Identify the registration deadline applicable to your business
  • Make sure shareholder and authorised signatory documents are current
  • Review existing EmaraTax information for consistency
  • Confirm you are submitting the application under the correct Taxable Person

Frequently Asked Questions

How much does it cost to register for corporate tax in the UAE?

The FTA does not charge a fee for corporate tax registration itself on EmaraTax. Costs typically come from professional service fees for eligibility review, document preparation, and application filing, which vary by business complexity. Contact Taskmaster Gulf for a quote based on your company’s structure.

Do free zone companies need to register even if they qualify for the 0% rate?

Free Zone Persons within the scope of Corporate Tax are required to meet the applicable registration requirements. A Qualifying Free Zone Person’s potential 0% treatment on Qualifying Income does not itself remove registration and filing obligations.

Are Corporate Tax and VAT registration in UAE different rules?

Yes. Corporate Tax and VAT are separate UAE tax registrations with different rules, returns and compliance requirements, even when both are managed through the same EmaraTax account.

Can I update my details after submitting my corporate tax registration?

Yes. Changes to registered details such as a new trade licence, updated contact information, or a change in business activity can be submitted through your EmaraTax profile. Keeping this information current matters, since mismatched details are a common reason applications or later filings get delayed.

Do I need to deregister if my business closes or stops trading?

A Corporate Tax registrant may need to apply for deregistration when it ceases business or meets another applicable deregistration condition, such as liquidation, merger or closure of a Permanent Establishment. The relevant application and outstanding Corporate Tax obligations should be completed through EmaraTax in accordance with FTA requirements.

Does a UAE branch of a foreign company need its own corporate tax registration?

A foreign company may have a UAE Corporate Tax registration obligation where its UAE branch creates a Permanent Establishment or where another applicable registration condition is met. The requirement and deadline should be assessed based on the non-resident company’s UAE presence and activities.
